A mainland company, an ADGM entity, and a free-zone company may face different filing or auditor-appointment requirements. The audit process is designed to test the financial statements and clearly communicate significant matters before the report is issued.
Independence Comes Before Fieldwork

What is an external audit?
An external audit is an independent examination of financial statements and supporting evidence. The auditor provides an opinion on whether the statements are free from material misstatement under the applicable reporting framework.
Is an audit mandatory in Abu Dhabi?
Not every mainland company is required to submit an annual audit solely because it holds an Abu Dhabi licence. Free zones, ADGM entities, shareholders, banks, and contracts may impose their own audit requirement.
When is a Corporate Tax audit required?
Under Ministerial Decision No. 82 of 2023, audited financial statements are required for taxable persons with revenue above AED 50 million and for Qualifying Free Zone Persons claiming the 0% Corporate Tax rate. The requirement applies regardless of whether an external audit was previously requested for another purpose.
Can an ADGM company appoint any auditor?
No. Statutory audits for ADGM entities must be carried out by an auditor registered with the ADGM Registration Authority. The authority maintains a public register of approved audit firms and individuals.
Which standards guide the audit?
External audits are generally planned and performed under International Standards on Auditing. ISA requires a risk- and materiality-based approach, which means the audit does not test every transaction.
What documents are needed?
Typical evidence includes trial balances, ledgers, bank reconciliations, invoices, contracts, payroll records, fixed-asset schedules, inventory records, and management accounts. Third-party confirmations may also be requested for selected balances.
How long does an external audit take?
Timing depends on the entity size, transaction volume, record quality, reporting deadline, and speed of management responses. A complete set of reconciled schedules before fieldwork usually reduces delays caused by missing evidence.
Does an audit guarantee a clean opinion?
No. An unmodified opinion is issued only when the audit evidence supports it. The audit provides reasonable assurance, not an absolute guarantee that every error or fraud has been identified.
What if an error is found?
Management may need to provide additional evidence, post an adjustment, or revise a disclosure before the financial statements are finalised. Material prior-period errors are addressed under the applicable accounting framework, such as IAS 8 for IFRS reporters.
How is external audit pricing set?
Fees depend on the entity structure, reporting framework, revenue and transaction volume, account complexity, locations, and condition of the records. An engagement subject to the AED 50 million Corporate Tax audit threshold may require wider testing than a smaller entity.
